1. Introduction

These Terms and Conditions (“Terms”) govern the use of services offered by AdRock Digital (“we,” “us,” or “our”) located at https://adrockdigital.com/. By accessing or using our services, you (“you” or “your”) agree to be bound by these Terms.

2. Services

AdRock Digital provides a variety of digital marketing services, including (but not limited to):

• – Search Engine Optimization (SEO)
• – Pay-Per-Click (PPC) Advertising Management
• – Social Media Marketing
• – Content Marketing
• – Email Marketing
• – Web Analytics Reporting

We may revise these services at any time without prior notice.

3. Project Scope and Fees

The scope of services for each project will be outlined in a separate proposal or agreement. Fees for our services are based on the proposed scope and will be clearly stated in the agreement.

4. Payment Terms

Payment terms will be specified in the project proposal or agreement. Typically, we require a 50% deposit upfront and the remaining balance due upon milestone. Late payments may incur a 10% late fee per month.

5. Client Responsibilities

You are responsible for providing us with accurate and complete information for your marketing campaigns. Additionally, you will be responsible for timely approvals of materials and any revisions requested.

6. Intellectual Property

We will retain ownership of any intellectual property developed by us for your project. However, you will own the rights to any pre-existing content you provide.

7. Term and Termination

These Terms will remain in effect until terminated by either party. You may terminate this agreement at any time with written notice. We may terminate this agreement for cause, such as non-payment or violation of these Terms.

8. Warranties and Disclaimers

We strive to provide the best possible service but cannot guarantee specific results. We offer our services “as is” and disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. 

9. Limitation of Liability

We will not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to our services.  

10. Confidentiality

We will keep confidential any non-public information you provide us. You agree to keep confidential any non-public information you receive from us.

11. Force Majeure

We will not be liable for any delays or failures to perform our obligations due to events beyond our reasonable control, such as acts of God, natural disasters, or wars.

12. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of New Delhi.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms will be resolved by mediation in accordance with the rules of Mediation Association.

14. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect. 

16. Waiver

No waiver of any breach of any provision of these Terms will be deemed a waiver of any subsequent breach.
